1. Agreement to These Terms
These Terms of Service (the “Terms”) govern your access to and use of the websites, software platform, artificial-intelligence tools, messaging tools, customer relationship management tools, online review tools, automation services, and related services offered by 33Skills (“33Skills,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services for an organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility and Accounts
You must be legally able to enter into a binding agreement to use the Services. You agree to provide accurate, complete, and current registration and account information, to protect your account credentials, and to promptly notify us of any suspected unauthorized access. You are responsible for all activity that occurs through your account unless applicable law provides otherwise.
3. Services and Changes
33Skills provides business software and related services that may include customer communications, lead management, appointment scheduling, AI-assisted interactions, webchat, review management, marketing automations, payment-related tools, and other features made available from time to time. Features may vary by plan, geographic location, third-party availability, or written order form.
We may modify, update, suspend, or discontinue portions of the Services when reasonably necessary to maintain, secure, improve, or comply with legal obligations. Where practical, we will provide notice of material changes through the Services, by email, or by another reasonable method.
4. Fees, Billing, and Renewals
If you purchase a paid plan, you agree to pay the fees and taxes stated at checkout, in an order form, or in another agreement with us. Unless otherwise stated in writing, subscription fees are billed in advance and renew automatically for the selected billing period until cancelled in accordance with these Terms or the applicable order form.
You authorize us and our payment providers to charge your selected payment method for recurring fees, applicable taxes, and authorized charges. Fees are non-refundable except where required by law or expressly stated in a written agreement. You are responsible for keeping your billing information current.
5. Acceptable Use
You may use the Services only in compliance with these Terms and all applicable laws. You will not, and will not permit others to:
- use the Services to send unlawful, deceptive, abusive, discriminatory, defamatory, infringing, or harmful content;
- send unsolicited messages or conduct campaigns without the legally required consent, notices, and opt-out mechanisms;
- use the Services to violate privacy, consumer-protection, telemarketing, anti-spam, or data-protection laws;
- interfere with, disrupt, reverse engineer, probe, or attempt to gain unauthorized access to the Services or related systems;
- use AI-enabled features to impersonate another person, make prohibited decisions, generate unlawful content, or mislead individuals about material interactions; or
- use the Services in any manner that could harm 33Skills, our users, or third parties.
6. Your Content and Customer Data
You retain ownership of the content, data, contacts, messages, recordings, materials, and other information you submit to the Services (“Customer Data”). You grant 33Skills a limited, non-exclusive right to host, process, transmit, display, and use Customer Data solely as necessary to provide, maintain, secure, and improve the Services, comply with law, and enforce these Terms.
You are responsible for Customer Data and for obtaining all permissions, notices, and lawful bases necessary for 33Skills to process it on your behalf. You represent that Customer Data and your use of the Services do not violate law or third-party rights.
7. AI-Assisted and Communication Features
AI-assisted outputs, automated responses, transcriptions, summaries, recommendations, and similar features may be inaccurate, incomplete, or unsuitable for your specific circumstances. You are responsible for reviewing outputs before relying on or sharing them. The Services are not intended to replace professional legal, medical, financial, employment, or other regulated advice.
You are solely responsible for complying with laws that apply to calls, texts, emails, recordings, automated messages, and AI-assisted communications, including consent, disclosure, registration, opt-out, and recordkeeping requirements. You must configure and supervise the Services appropriately for your business.
8. Third-Party Services
The Services may integrate with third-party products, websites, payment providers, communications networks, advertising platforms, or other services. Your use of third-party services is governed by their separate terms and privacy policies. 33Skills does not control and is not responsible for third-party services, their availability, or their handling of data.
9. Intellectual Property
33Skills and its licensors retain all rights, title, and interest in the Services, software, documentation, designs, trademarks, and other materials provided by us. Subject to your compliance with these Terms and payment of applicable fees, 33Skills grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable subscription period for your internal business purposes.
10. Confidentiality
Each party may receive non-public information from the other that is identified as confidential or that reasonably should be understood as confidential. Each party will use the other party’s confidential information only to perform under these Terms and will protect it using reasonable care. This obligation does not apply to information that is publicly available without breach, independently developed, rightfully received from a third party, or required to be disclosed by law.
11. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, 33SKILLS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. 33SKILLS DOES NOT GUARANTEE BUSINESS RESULTS, LEAD VOLUME, REVENUE, REVIEWS, SEARCH RANKING, MESSAGE DELIVERY, OR THE ACCURACY OF AI-GENERATED OUTPUTS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 33SKILLS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 33SKILLS’ TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO 33SKILLS FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You will defend, indemnify, and hold harmless 33Skills and its affiliates, officers, employees, agents, and licensors from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your Customer Data, your use of the Services, your violation of these Terms, or your violation of applicable law or third-party rights.
14. Suspension and Termination
You may stop using the Services at any time, subject to any applicable subscription commitment or order form. We may suspend or terminate access to the Services if we reasonably believe you have violated these Terms, failed to pay amounts due, created a security risk, or exposed 33Skills or others to potential legal liability. Upon termination, your right to use the Services ends. Sections that by their nature should survive will survive termination.
15. Governing Law and Disputes
These Terms are governed by the laws applicable where 33Skills operates, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services will be resolved in a court with proper jurisdiction, unless a different written agreement applies.
16. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted with a revised effective date. If a change is material, we will provide additional notice where reasonably required. Your continued use of the Services after the effective date of the updated Terms means you accept the updated Terms.
